General Terms and Conditions

These Terms govern your use of Senaro AI, a product of Northcliff AI (a registered trading name of Spark GTM Consulting, KvK 90876385, Amsterdam). By creating an account or using the service, you accept these Terms in full.

Definitions

The following terms have the meanings set out below unless explicitly stated otherwise.

  • Senaro AI / Northcliff AI / we / us / our — Northcliff AI, a registered trading name of Spark GTM Consulting (KvK 90876385), the entity that operates the Service.
  • User / you / your — the natural person or legal entity that creates an Account and uses the Service.
  • Consumer — a User acting outside the scope of any trade, business, craft, or profession. More protective Consumer provisions apply where required by mandatory Dutch or EU consumer law.
  • Account — the individual user account created upon registration.
  • Service — the Senaro AI software-as-a-service product, including the web application, AI task-parsing functionality, account management, and all associated features.
  • Subscription — a recurring plan (Free or Pro) governing the User's access to the Service.
  • Free Plan — the no-charge tier, subject to usage limits as published on the Website.
  • Pro Plan — the paid tier, billed monthly or annually, with expanded limits and features.
  • Credits — the unit of AI-feature consumption. One Credit = one AI task parse.
  • Monthly Credits — Credits allocated per billing cycle. Unused Monthly Credits expire at cycle end and do not roll over.
  • Pack Credits — Credits purchased in bundles. Pack Credits do not expire and are consumed after Monthly Credits are exhausted.
  • AI Output — any content generated by the Service's AI features: task classifications, tags, due dates, urgency, follow-up suggestions.
  • Personal Data — information relating to an identified or identifiable natural person, as defined in the GDPR.
  • Agreement — the contract between Senaro AI and the User formed upon acceptance of these Terms.
  • CC — the Dutch Civil Code (Burgerlijk Wetboek).
  • Website — senaroai.com and any subdomains operated by Senaro AI.

1. Applicability

  1. These Terms apply to all offers, Agreements, and use of the Service between Senaro AI and the User.
  2. By creating an Account or using the Service, the User accepts these Terms in full. Acceptance is recorded electronically at signup.
  3. Any general terms and conditions of the User are hereby explicitly excluded.
  4. Deviations from these Terms are only valid if explicitly agreed in writing by Senaro AI. No prior course of dealing, industry custom, or verbal representation modifies these Terms.
  5. Senaro AI may engage third parties (including sub-processors) to fulfil its obligations. These Terms apply to such engagements.
  6. If specific product or service terms conflict with these Terms, the specific terms prevail for that product or service.

2. Conclusion of the Agreement

  1. The Agreement is concluded when the User completes registration and clicks to accept these Terms, or at first use of the Service where registration is not required. The effective date of these Terms is 14 May 2026.
  2. Senaro AI may reject an Account application at its sole discretion without stating reasons.
  3. These Terms replace all prior communications, proposals, or representations regarding the Service.
  4. The Agreement is also concluded upon continued use after material changes to these Terms are published with proper notice.

3. The Service

  1. Senaro AI provides an AI-native task management platform for sales professionals. Users input tasks in natural language; the Service uses AI to classify, tag, and structure them.
  2. The Service is provided on a best-efforts basis only.
  3. The Service is provided "as is" and "as available." Senaro AI makes no warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement, uninterrupted availability, or freedom from errors. All such warranties are excluded to the fullest extent permitted by law.
  4. AI Outputs are suggestions only. They do not constitute professional, legal, financial, or other regulated advice. The User is solely responsible for reviewing and acting on any AI Output.
  5. Senaro AI does not warrant that use of the Service will result in any particular sales outcome, productivity improvement, or business benefit.
  6. Senaro AI is entitled to use third-party providers (including Anthropic, Supabase, and Stripe) to operate the Service.

4. Account Registration

  1. To use the Service, the User must register using a valid email address and password, or via Google Single Sign-On.
  2. The User must be at least 18 years of age.
  3. The User agrees to provide accurate, current, and complete information and to keep it up to date.
  4. Each Account is for one individual. Credentials may not be shared or transferred. The User is responsible for all activity under their Account.
  5. The User must notify Senaro AI immediately at support@senaroai.com if they suspect unauthorised access. Senaro AI is not liable for losses arising from the User's failure to maintain adequate credential security.
  6. Senaro AI reserves the right to require additional identity or eligibility verification at any time.

5. Subscription Plans and Features

  2. The definitive current feature comparison is published on the Website.
  3. Material reductions to a paid plan's features will be communicated with at least 30 days' notice.
  4. Pack Credits are available at the price published on the Website at time of purchase.

6. Free Pro Trial

  1. New Users receive a 14-day free Pro trial upon signup, providing full access to Pro features: 150 credits, unlimited account tiles, custom tags, unlimited AI Import, follow-up suggestions, full analytics, and automation rules.
  2. After 14 days the Account transitions automatically to the Free Plan (25 credits/month, 5 tiles, no custom tags) unless the User upgrades to paid Pro before the trial ends.
  3. AI features used during the onboarding flow (guided setup wizard) are always free and do not consume Credits, including during the trial.
  4. Senaro AI reserves the right to modify or withdraw the trial offer at any time with appropriate notice under §20.

7. Billing, Payment, and Auto-Renewal

  1. Payment is processed by Stripe, Inc. on behalf of Senaro AI. By subscribing, the User authorises Stripe to charge the payment method on file. Stripe's own terms apply to the payment relationship.
  2. Prices exclude VAT unless stated otherwise. VAT is added where required by law. The User is responsible for any taxes arising in their jurisdiction beyond those Senaro AI is legally required to collect.
  3. Monthly subscriptions renew automatically each month on the billing anniversary unless cancelled before renewal.
  4. Annual subscriptions renew automatically each year. Senaro AI will send a renewal reminder at least 30 days before the renewal date to the registered Account email.
  5. Consumers may cancel an automatically renewing Subscription at any time after the initial period via the account management portal or by contacting support@senaroai.com. Cancellation takes effect at the end of the then-current period (Wet Van Dam, Article 6:236 sub p CC).
  6. No refunds for partial periods unless required by mandatory law (see §8 for the Consumer statutory withdrawal right).
  7. Pack Credits are non-refundable once confirmed, unless required by mandatory consumer law.
  8. Monthly Credits reset each billing cycle and do not carry over. Pack Credits do not expire.
  9. If payment fails, Senaro AI will notify the User. If payment is not received within 7 days, Senaro AI may suspend or downgrade the Account to the Free Plan without further notice.
  10. The User may not set off amounts owed against any alleged counterclaim.
  11. All payments are applied first to outstanding costs and interest, then to the oldest outstanding invoices.
  12. In case of non-payment, the User is in default (verzuim) without further notice. Statutory commercial interest (wettelijke handelsrente, Article 6:119a CC) accrues from the due date.
  13. Senaro AI is entitled to recover extrajudicial collection costs of 15% of the outstanding principal, with a minimum of €100 per unpaid invoice.
  14. In the event of the User's bankruptcy, suspension of payments, or liquidation, all amounts owed become immediately due and payable.

8. Right of Withdrawal (Consumers Only)

  1. Consumers have the statutory right to withdraw from the Agreement without reason within 14 calendar days of conclusion (Article 6:230o CC).
  2. Waiver: If the Consumer requests immediate commencement of the Service and acknowledges this waives their withdrawal right once the service has been meaningfully used, the right of withdrawal is lost to that extent (Article 6:230p(f) CC). An explicit notice and checkbox is presented at account creation.
  3. To exercise withdrawal (where not waived), the Consumer must notify Senaro AI at support@senaroai.com before the period expires.
  4. Upon valid withdrawal, Senaro AI will refund amounts paid less a proportional deduction for services already provided, within 14 days.

9. Cancellation and Termination

  1. The User may cancel their Subscription at any time via the Stripe customer portal. Cancellation takes effect at the end of the current billing cycle.
  2. Senaro AI may terminate or suspend an Account with immediate effect if: (a) the User materially breaches these Terms and fails to remedy within 7 days of notice; (b) the User engages in fraudulent, illegal, or abusive behaviour; (c) payment is overdue by more than 14 days; (d) required by law; or (e) continued provision poses legal or reputational risk to Senaro AI.
  3. Senaro AI may terminate for other reasons with 30 days' written notice, with a pro-rata refund of prepaid amounts.
  4. Upon termination: (a) access ceases; (b) data export is available for 30 days via in-app export, then deleted subject to legal retention obligations; (c) all amounts owed become immediately due; (d) Pack Credits are forfeited upon termination for breach.
  5. Sections covering Definitions, User Content, IP, Liability, Indemnification, Governing Law, and Expiration of Claims survive termination.

10. AI Processing and Outputs

  1. Certain features transmit User-provided task text to the Anthropic Claude API for classification. By using such features, the User expressly consents to this processing.
  2. Only task text (title and description) is transmitted to Anthropic. No payment information, authentication credentials, or sensitive Personal Data is included in prompts.
  3. As of the effective date, Anthropic does not retain API inputs for model training. Senaro AI will notify Users if this materially changes.
  4. AI Outputs are suggestions only. They may contain errors. The User bears sole responsibility for verifying AI Outputs before acting on them. Senaro AI accepts no liability for losses arising from reliance on AI Outputs without independent verification.
  5. AI systems can produce inconsistent or unexpected results; the User acknowledges and accepts this inherent limitation.
  6. The User must not input unlawful, defamatory, discriminatory, or infringing content. Senaro AI is not responsible for the accuracy or legality of User-provided task content.
  7. Users may toggle Pause AI Processing in Settings to prevent task text from being sent to third-party AI providers. Some features will be unavailable while active.

11. Acceptable Use

The User agrees not to:

  1. use the Service for any unlawful purpose or in violation of applicable law;
  2. attempt to reverse engineer, decompile, or derive source code from the Service;
  3. scrape or systematically download data from the Service by automated means without written authorisation;
  4. transmit malware, spam, or harmful code via the Service;
  5. circumvent API rate limits or credit metering;
  6. impersonate another person or create multiple Accounts to circumvent plan limits or suspensions;
  7. interfere with the integrity, performance, or security of the Service;
  8. resell, sublicence, or commercially exploit Service access without prior written consent; or
  9. use the Service in any manner that brings Senaro AI into disrepute or exposes Senaro AI to legal liability.

Senaro AI may immediately suspend any Account in breach of this section, without liability or advance notice. Senaro AI reserves the right to take legal action and seek damages for any breach.

12. User Content and Data Ownership

  1. The User retains all ownership rights to task data, notes, account tile names, and other content they input ("User Content").
  2. The User grants Senaro AI a limited, non-exclusive, royalty-free licence to store, process, and transmit User Content solely to operate and provide the Service. This licence terminates upon Account or content deletion, subject to backup and legal retention periods.
  3. Senaro AI does not claim ownership of User Content and will not use it beyond operating the Service.
  4. The User warrants they have all rights and consents necessary to submit User Content, and that it does not violate applicable law or third-party rights.

13. Intellectual Property

  1. All intellectual property rights in the Service — including software, platform, design, AI models, documentation, branding, and trademarks — are owned exclusively by Northcliff AI (Spark GTM Consulting) or its licensors. Nothing in these Terms grants rights beyond the limited licence below.
  2. The User is granted a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for their own internal purposes as permitted by these Terms and their Subscription plan.
  3. The User may not remove or alter any IP notices from the Service or its outputs.
  4. All rights not expressly granted are reserved to Senaro AI.
  5. AI Outputs are licensed to the User for personal or business use, subject to applicable third-party terms (including Anthropic's usage policies).

14. Privacy and Data Protection

  1. Senaro AI processes Personal Data in accordance with the GDPR and applicable Dutch law, as described in the Privacy Policy.
  2. Sub-processors: Supabase Inc. (database, auth, hosting), Stripe, Inc. (payments), Anthropic, PBC (AI parsing).
  3. Users may export all data (Settings → Privacy → Export My Data) or request Account deletion (cascade delete) at any time. Stripe retains transaction records for tax compliance.
  4. Senaro AI applies appropriate technical and organisational security measures. No system is completely secure; Senaro AI does not guarantee absolute data security.

15. Confidentiality

  1. Both parties undertake not to disclose confidential information obtained from the other party to any third party without prior written consent.
  2. If Senaro AI is legally required to disclose confidential information and cannot invoke privilege, it is not liable for resulting damages.
  3. Exclusions: publicly available information, information known prior to disclosure, or independently developed information.
  4. Senaro AI may identify the User as a customer in its marketing materials unless the User objects in writing. Senaro AI will not disclose the substance of the User's usage or data.

16. Service Availability and Changes

  1. Senaro AI targets high availability but does not guarantee uninterrupted access. Planned maintenance will be communicated in advance where reasonably practicable.
  2. Material reductions to paid plan features are communicated with at least 30 days' notice. Affected Users may terminate and receive a pro-rata refund.
  3. Senaro AI is not liable for unavailability caused by the User's systems, internet connectivity, or upstream provider failures (Anthropic, Supabase, Stripe).
  4. Senaro AI may discontinue the Service entirely upon 60 days' written notice, with pro-rata refunds of prepaid amounts.

17. Limitation of Liability

  1. No warranty; "as is" service. The Service is provided "as is" and "as available" without warranty of any kind. All implied warranties are disclaimed to the fullest extent permitted by law.
  2. Liability cap — business Users. Senaro AI's total aggregate liability is limited to the greater of: (a) total Subscription fees paid in the 12 months preceding the claim; or (b) €100.
  3. Consumers. Nothing limits Senaro AI's liability for intentional misconduct (opzet), gross negligence (grove schuld), death or personal injury, or other liability that cannot be excluded under mandatory Dutch or EU consumer law. Subject to the foregoing, Consumer liability is limited to amounts paid in the 12 months preceding the claim.
  4. Exclusion of consequential damages. To the fullest extent permitted by law, Senaro AI is not liable for indirect, consequential, incidental, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, data, goodwill, failure to achieve expected sales results, business interruption, or the cost of substitute services — regardless of legal theory and even if advised of the possibility of such damages.
  5. AI-specific exclusions. Senaro AI is not liable for: (a) loss arising from reliance on AI Outputs without independent verification; (b) inaccuracy or unexpected AI results; or (c) any sales, revenue, or business loss attributable to use of or failure to use the Service.
  6. Senaro AI is not liable for damage arising from incorrect or incomplete information provided by the User.
  7. Senaro AI is not liable for acts of third-party providers (Anthropic, Supabase, Stripe) where Senaro AI exercised reasonable care in selecting them.
  8. These limitations extend to Senaro AI's officers, employees, agents, contractors, and licensors.

18. Indemnification

  1. The User will defend, indemnify, and hold harmless Senaro AI and its officers, employees, agents, licensors, and sub-processors from any claims, losses, damages, costs, and legal fees arising from: (a) breach of these Terms; (b) User Content that infringes third-party rights or is unlawful; (c) misuse of the Service or AI Outputs; or (d) wilful misconduct or negligence on the part of the User.
  2. Senaro AI will promptly notify the User of any such claim and provide reasonable cooperation.
  3. The User may not settle any claim that imposes obligations on or admits liability for Senaro AI without Senaro AI's prior written consent.

19. Force Majeure

  1. Neither party is liable for failure or delay caused by circumstances beyond their reasonable control, including: strikes; acts of government; riots, war, or terrorism; natural disasters, fire, epidemic, or pandemic; internet infrastructure failures or cyberattacks; outages of Anthropic, Supabase, or Stripe; or any other circumstances obstructing normal Service operation.
  2. If a force majeure event prevents Service delivery for more than 30 consecutive days, either party may terminate without liability, except for amounts already due.

20. Changes to These Terms

  1. Senaro AI may update these Terms at any time. Material changes are notified by email and/or in-app notice at least 30 days before taking effect.
  2. Continued use after the effective date of updated Terms constitutes acceptance.
  3. Consumers who disagree with a material change may terminate before it takes effect and receive a pro-rata refund.
  4. Non-material changes (corrections, clarifications, new optional features) may be published without prior notice.

21. Obligations of the User

  1. The User is responsible for: accurate Account information; a valid payment method for paid plans; and compliance with applicable law.
  2. The User is responsible for all individuals given access through their Account.
  3. The User must not act in a manner that hinders or disrupts Senaro AI's delivery of the Service.
  4. If the User fails these obligations and causes Senaro AI additional costs, those costs may be charged to the User and/or the Account may be suspended.

22. Assignment

  1. The User may not transfer or assign any rights or obligations under the Agreement to any third party without Senaro AI's prior written consent.
  2. Senaro AI may assign or transfer rights and obligations to an affiliate, successor, or acquirer of substantially all of its business or assets, provided the assignee assumes all obligations to Users.

23. Miscellaneous

  1. Deviations from these Terms are only valid if agreed in writing. No deviation creates rights for subsequent Agreements.
  2. Senaro AI's electronic records constitute valid evidence of the Agreement and User requests, subject to counter-evidence.
  3. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. The invalid provision will be replaced with a valid, enforceable provision as close to the original as possible.
  4. Failure by Senaro AI to enforce any provision does not constitute a waiver of the right to enforce it later.
  5. The place of performance of the Agreement is Amsterdam, the Netherlands.
  6. These Terms, together with the Privacy Policy and any specific service terms, constitute the entire agreement and supersede all prior agreements.

24. Governing Law and Jurisdiction

  1. These Terms and the Agreement, and all non-contractual rights and obligations, are governed by the laws of the Netherlands.
  2. Business User disputes are submitted exclusively to the competent court of Noord-Holland, the Netherlands.
  3. Consumer carve-out: EU Consumers habitually resident in another EU member state are not deprived of mandatory protections of their country of habitual residence, and may bring disputes before a court in that country.
  4. Both parties agree to use good-faith efforts to resolve any dispute directly for at least 30 days before initiating formal proceedings.
  5. EU Consumers may also use the European ODR platform: ec.europa.eu/odr. Senaro AI's ODR contact: support@senaroai.com.

25. Expiration of Claims

All claims the User may have against Senaro AI have, by derogation from the statutory limitation period (verjaringstermijn), a limitation period of one year from the occurrence of the event giving rise to the claim, unless mandatory law provides otherwise.
